Wright Truck Connect Dealer Terms & Conditions These Terms and Conditions (“Agreement”) govern access to and use of the Wright Truck Connect platform and services. By accessing the platform, subscribing, or making payment, the Dealer agrees to be bound by this Agreement.

1. Definitions “Wright Truck Connect” means Wright Truck Connect “Platform” means the Wright Truck Connect website, systems, and database. “Dealer” means any approved business subscribing to the Platform. “Seller” means any private individual or entity listing a vehicle through Wright Truck Connect. “Protected Seller” means any Seller introduced to the Dealer via the Platform.

2. Nature of Services Wright Truck Connect operates as a private B2B facilitation and introduction platform connecting Sellers and Dealers. Wright Truck Connect may: source and present vehicle listings facilitate communication between parties relay offers and negotiations assist in coordinating transactions However: Wright Truck Connect does not take ownership of any vehicle Wright Truck Connect does not act as the principal buyer or seller Wright Truck Connect does not guarantee any transaction.

3. No Agency Relationship Wright Truck Connect acts as an independent intermediary. Nothing in this Agreement creates: an agency relationship a partnership or a joint venture between Wright Truck Connect and any Dealer or Seller.

4. Dealer Subscription
Access is granted subject to approval and payment. Subscription Fee: R5,000 per month (subject to change with notice) Terms: payable monthly in advance non-refundable non-transferable Wright Truck Connect may suspend or terminate access at its discretion.

5. Platform Rules & Communication Dealers agree that: all communication with Sellers must occur through Wright Truck Connect Seller details remain controlled by Wright Truck Connect negotiations must be facilitated via the Platform Dealers are prohibited from: contacting Sellers directly attempting to obtain Seller details engaging outside the Platform

6. Non-Circumvention The Dealer agrees not to: bypass Wright Truck Connect transact directly with Protected Sellers avoid platform involvement in any way This applies during the subscription period.

7. Protected Sellers All Sellers introduced via the Platform are Protected Sellers. The Dealer may not transact with any Protected Seller outside Wright Truck Connect without prior written consent.

8. Breach & Contractual Penalty In the event of circumvention: Wright Truck Connect may: terminate access immediately permanently ban the Dealer pursue legal remedies The Dealer agrees to a contractual penalty of: 👉 10% of transaction value OR R100,000 (whichever is greater) This is a reasonable pre-estimate of damages under South African law.

9. Listings & Disclaimer Listings are based on Seller-provided information. Wright Truck Connect: makes reasonable verification efforts does not guarantee accuracy or condition. Dealers must conduct their own: inspections due diligence verifications

10. Transactions All transactions introduced via Wright Truck Connect are facilitated and coordinated exclusively through Wright Truck Connect. Dealers shall not engage directly with Sellers unless expressly authorised in writing by Wright Truck Connect. Wright Truck Connect will: manage and relay all communication between Dealer and Seller coordinate the negotiation process facilitate the progression of the transaction Any agreement reached between a Dealer and a Seller shall be concluded through the facilitation of Wright Truck Connect, and not through independent or direct engagement between the parties. Wright Truck Connect: does not take ownership of any vehicle does not act as the principal buyer or seller does not assume liability for the performance of either party

11. Confidentiality All platform information is confidential. Dealers may not: share listings distribute Seller information allow third-party access 12. Acceptable Use Dealers may not: share login credentials scrape or extract data misuse platform information misrepresent intent

13. POPIA Compliance (Protection of Personal Information) Wright Truck Connect processes personal information in accordance with the Protection of Personal Information Act (POPIA). By using the Platform, the Dealer agrees that: personal information of Sellers is provided solely for transaction facilitation such information will be processed lawfully and securely no personal information will be shared outside permitted use Dealers agree to: comply with POPIA in handling any personal data received implement appropriate safeguards to protect such data not retain or use Seller information beyond the purpose of a transaction Wright Truck Connect shall take reasonable steps to ensure data protection but shall not be liable for misuse by Dealers.

14. Suspension & Termination Wright Truck Connect may suspend or terminate access: for breach of this Agreement for non-payment for misuse of the Platform Termination may occur without refund.

15. Limitation of Liability To the maximum extent permitted by South African law: Wright Truck Connect shall not be liable for: indirect or consequential losses loss of profit vehicle defects Seller misrepresentation transaction disputes Use of the Platform is at the Dealer’s own risk.

16. Indemnity The Dealer agrees to indemnify and hold harmless Wright Truck Connect against any claims arising from: misuse of the Platform breach of this Agreement disputes with Sellers

17. Amendments Wright Truck Connect may update these Terms at any time. Continued use constitutes acceptance of revised terms.

18. Governing Law This Agreement is governed by the laws of the Republic of South Africa. 19. Electronic Acceptance The Dealer agrees that: acceptance via website checkbox constitutes a binding agreement electronic records are admissible as evidence
